CONTRACT AGREEMENT FOR RENTAL OF CONVENTION FACILITIES

This License Agreement (“LICENSE”) is made and entered into by and between LA Mirage Convention Center, Koratty, hereinafter referred to as the “Licensor”, a firm acting by and through its authorized person, and the person/organization who approaches the Licensor to allow the use of the facility, hereinafter called the “LICENSEE”.
This Agreement creates a license within the meaning of Section 52 of the Indian Easements Act, 1882, granting the Licensee a revocable, non-exclusive, limited right to use the facility for the specified event and duration only. This Agreement does not create any tenancy, lease, sub-lease, or any right of occupation or possession in favour of the Licensee under the Kerala Buildings (Lease and Rent Control) Act, 1965, or any other applicable tenancy or rent control legislation. The Licensee acknowledges that they have no right to exclusive possession of the premises and that the Licensor retains full control and supervision of the premises at all times.
The LICENSEE hereby covenants and agrees with the Licensor to keep and perform all the following express purposes and conditions:
ARTICLE 1: BOOKING, PAYMENT & CONFIRMATION
1. Booking & Confirmation: A booking is confirmed upon receipt of a non-refundable booking advance of ₹50,000 (Rupees Fifty Thousand Only), or such other amount as may be fixed by the management from time to time. The booking advance can be paid online at la-mirage.in or at the LA Mirage booking office. By making the booking advance payment, the Licensee confirms acceptance of these Terms and Conditions, the Cancellation Policy published at https://la-mirage.in/cancellation-policy/, and the Privacy Policy published at https://la-mirage.in/privacy-policy/, all of which are deemed to be incorporated herein by reference.
2. Nature of Booking Advance: The booking advance is non-refundable and constitutes consideration for securing the facility for the Licensee’s requested date(s) and time slot(s). It is expressly clarified that the booking advance is not a security deposit or damage deposit. It is a confirmed booking fee that compensates the Licensor for blocking the date exclusively for the Licensee, thereby forgoing other potential bookings for the same slot.
3. Balance Payment: The balance of the contracted rental fee and other applicable charges shall be paid at least 30 days before the event date. If the booking is made within 30 days of the event, the total rental fee shall be paid in full at the time of booking. Failure to pay the balance within the stipulated time shall entitle the Licensor to cancel the booking without refund of any amounts paid.
4. Taxes & Duties: All rental fees, charges, and amounts quoted or mentioned in this Agreement are exclusive of applicable taxes, including but not limited to Goods and Services Tax (GST), cess, and any other statutory levies. The Licensee shall be liable to pay the applicable GST (currently 18% or as amended from time to time) and any other taxes over and above the rental fee. The total payable amount shall be the rental fee plus all applicable taxes. Tax invoices will be issued in accordance with GST law.
5. Payment Modes: Payment can be made via credit card, debit card, net banking, UPI, or in cash up to the maximum limit permissible under applicable law at the LA Mirage booking office.
6. Booking Confirmation: A booking confirmation will be communicated to the Licensee upon receipt of the booking advance payment. The confirmation communication, along with the payment receipt, shall constitute evidence of the booking contract between the parties.
7. Premises-Use Agreement: A separate Premises-Use and Event Conduct Agreement may be provided to the Licensee for execution prior to the event date. This supplementary document governs the operational rules, vendor management, and on-site conduct applicable during the event. The non-execution of this supplementary agreement shall not affect the validity or enforceability of the booking contract formed under this Article.
8. Online Booking System: LA Mirage operates a real-time online booking calendar at la-mirage.in. Once a date is booked and the advance is paid, the slot is immediately blocked and made unavailable to other clients. The Licensee acknowledges that this real-time blocking constitutes a material act of reliance by the Licensor and results in direct loss of opportunity.
ARTICLE 2: GENERAL GUIDELINES
1. Event Duration: The standard event duration is 4 hours. The indoor banquet hall must be vacated by all guests, vendors, and equipment within 30 minutes after the scheduled event end time. The main lights and air conditioning will be turned off upon the event’s conclusion. Thereafter, only adequate lighting in the family table area and washrooms will remain operational to facilitate vacating the premises.
2. Garden Area Access: Guests and customers are not permitted to use the garden banquet area after the event time has ended. Only LA Mirage staff, catering teams, or authorized individuals may access the area post-event.
3. Catering Counters:
○ Live cooking stations, juice counters, and live tea counters are not allowed within the indoor hall. They must be arranged in the designated area as directed by LA Mirage staff.
○ Catering teams must obtain prior approval from LA Mirage staff for all arrangements.
○ Applicable fees for the use of catering counters, table covers, and chair bows, along with a refundable catering vendor deposit, will be collected directly from the catering vendor as per the prevailing rate schedule. This catering vendor deposit is separate from and unrelated to the Licensee’s booking advance.
4. Furniture: LA Mirage shall provide furniture (banquet tables, chairs, and sofa sets) as per the standard allocation applicable to the booked hall. The exact allocation is subject to availability and the Licensor’s discretion.
5. DJ/Music: Due to the venue’s location in a residential neighborhood, all music and sound systems must comply with the Noise Pollution (Regulation and Control) Rules, 2000, as amended, and all applicable Kerala State Pollution Control Board guidelines. No loudspeaker or public address system shall be used after 10:00 PM as per Rule 5 of the said Rules. Music/DJ is not permitted after 9:50 PM. The Licensee shall be solely responsible for obtaining any permissions required from the relevant authority for the use of loudspeakers or public address systems and for ensuring compliance with all applicable noise control laws.
6. Air Conditioning: Air conditioning is provided for the standard 4-hour event duration. Beyond this period, AC, air coolers, and main lighting will be switched off.
7. Event Timings: Evening events shall conclude by a maximum of 11:30 PM. Day events shall conclude by a maximum of 3:45 PM. These timings are subject to applicable local authority regulations and may be modified without prior notice to ensure legal compliance.
8. Cleaning: The Licensee’s catering team is responsible for cleaning all waste related to food and drinks. Failure to adequately clean will result in additional cleaning charges being levied on the Licensee.
9. Extension Charges: An extension beyond the standard 4-hour event duration will cost ₹7,500 (plus applicable GST) per additional half hour or part thereof. All extensions are subject to availability and prior approval by LA Mirage management.
10. Decorations & Event Management: Third-party event management teams are not permitted to perform decorations or customizations. All such requirements must be handled by the LA Mirage event management team. Contact details will be provided upon booking confirmation.
11. Liquor Policy: Liquor consumption is strictly prohibited on the LA Mirage premises. LA Mirage Convention Center is classified as a “public place” within the meaning of Section 15(C) of the Kerala Abkari Act, 1 of 1077. Consumption, possession, or serving of liquor without a valid license is a criminal offense under the said Act. If the Licensee wishes to serve liquor at the event, the Licensee must:
○ Obtain a valid FL-6 license (or such other license as applicable) from the Kerala State Excise Department and produce the original license to LA Mirage management at least 7 days prior to the event;
○ Serve liquor only in the designated hall as determined by the Licensor and strictly in compliance with the terms of the Excise license;
○ Ensure full compliance with all conditions of the Excise license, the Kerala Abkari Act, and all applicable rules and regulations.
Any violation of this policy shall result in immediate termination of the event without any refund whatsoever. The Licensee shall be solely and exclusively liable for all criminal and civil consequences arising from any violation of the Kerala Abkari Act or Excise rules. The Licensee shall indemnify and hold harmless LA Mirage Convention Center against any prosecution, penalty, fine, license revocation, or other consequence arising from the Licensee’s liquor-related activities.
12. Surveillance: The entire LA Mirage premises is under CCTV surveillance, except for private spaces such as Green Rooms and Wash Areas. The Licensee and all attendees consent to being recorded by CCTV for security purposes.
ARTICLE 3: VENDOR MANAGEMENT POLICY
1. Artists & Performers: All artists, performers, DJs, bands, or any other entertainment providers must be selected from the LA Mirage approved panel or must obtain prior written approval from LA Mirage management.
2. Permitted External Vendors: Only the Catering team and Photography/Videography team are permitted to be engaged from outside. All other services must be arranged through LA Mirage.
3. Additional Requirements: Any services, equipment, or requirements not covered within the standard LA Mirage packages must be arranged exclusively through the LA Mirage Event Manager. No external arrangements for such services are permitted without prior written consent.
4. Vendor Compliance: All external vendors engaged by the Licensee must comply with the rules, regulations, and directions of LA Mirage staff at all times. The Licensee shall be fully responsible and liable for the conduct, actions, omissions, and any damage caused by their vendors.
ARTICLE 4: PHOTOGRAPHERS & VIDEOGRAPHERS
1. Photographers and videographers must adhere to the LA Mirage Koratty Photographer & Videographer Policy, which forms an integral part of this agreement and is available upon request.
2. The indoor AC banquet hall will be opened for photography setup 30 minutes before the scheduled event start time. Power supply will be made available 15 minutes before the event start time and will be switched off once the event concludes.
3. All photographers and crew must vacate the hall within 30 minutes after the event end time. Early arrivals may wait in the outdoor garden banquet area until the permitted setup time.
4. Only designated power outlets marked for photography may be used. Unauthorized cable runs, extensions, or tapping into other outlets is strictly prohibited. If the available power allocation is insufficient, the client must arrange for an independent generator at their own cost.
5. Photo print or instant print stations are permitted only with prior written approval from LA Mirage management and must be installed in the designated areas assigned by LA Mirage staff.
6. Photographers must comply with all directions from LA Mirage staff, ensure safe cable management to prevent tripping hazards, and avoid moving or misusing venue furniture or décor.
7. Photographers and their crew are financially liable for any damage to venue property, fixtures, or equipment caused by themselves or their crew. The Licensee shall be jointly and severally liable for such damage.
8. For coordination and on-site assistance, the photography team must contact the LA Mirage event coordination team. Contact details will be provided upon booking confirmation.
ARTICLE 5: USE OF PREMISES AND GROUNDS
1. The facility and grounds are to be used only for the purpose stated in the booking confirmation.
2. Setup and breakdown times must fall within the total rental period.
3. Smoking is prohibited inside the facility and within the perimeter area around entrances, exits, windows, and air intake vents as designated by LA Mirage staff.
4. No pets or animals are allowed within the building or event premises.
5. Open flames, candles, fireworks, sparklers, or any pyrotechnic materials are prohibited unless specifically approved in writing by LA Mirage management. Where approved, candles must be enclosed in holders that prevent wax from dripping onto surfaces.
6. All DJs, Bands, and Musicians must sign the LA Mirage Convention Center Music Contract prior to the event. The Licensee is responsible for ensuring compliance by their performers.
7. Children must be supervised by their parents or guardians at all times. LA Mirage assumes no responsibility for the safety or supervision of minors.
8. LA Mirage staff will monitor event activities and have the authority to enforce contract rules. The staff may terminate the rental immediately if the Licensee or any attendee fails to honor this contract, applicable local laws, or any directions of LA Mirage staff. No refund shall be due in the event of such termination.
9. The Licensee shall not affix, nail, screw, staple, or tape any items to walls, ceilings, floors, pillars, glass surfaces, or any part of the venue without prior written approval. Any damage arising from unauthorized affixing shall be charged to the Licensee.
10. The maximum occupancy and guest count shall not exceed the limits prescribed by local fire safety regulations and as communicated by LA Mirage management. The Licensee is responsible for ensuring compliance with the maximum occupancy limits.
11. Parking & Vehicles: Parking facilities are provided on an “as-is, where-is” basis. All vehicles are parked entirely at the owner’s risk. LA Mirage Convention Center assumes no responsibility whatsoever for any loss, theft, damage, vandalism, or any other harm to vehicles, their contents, or accessories parked in the parking area or anywhere on the premises. The Licensee shall inform all guests and attendees of this policy.
ARTICLE 6: FIRE SAFETY
1. LA Mirage Convention Center is classified as a Group D – Assembly Building under the Kerala Panchayat Building Rules, 2019, and maintains fire safety measures in accordance with the Kerala Fire Force Act, 1962, the National Building Code of India (NBC), and the Minimum Fire Safety Standards (MFSS-4A) prescribed by the Kerala Department of Fire and Rescue Services for Assembly Buildings.
2. The Licensee and all attendees, vendors, and performers shall comply with all fire safety directions issued by LA Mirage staff and the Kerala Fire and Rescue Services. This includes maintaining clear access to all emergency exits, fire extinguishers, and fire safety equipment at all times.
3. The Licensee shall not block, obstruct, or lock any emergency exit, fire escape route, or fire assembly point. No materials, equipment, decorations, or objects shall be placed in a manner that obstructs fire exits or emergency pathways.
4. The use of fireworks, sparklers, sky lanterns, smoke machines, fog machines, confetti cannons, or any fire hazard materials inside the venue or within the premises is strictly prohibited unless specifically approved in writing by LA Mirage management and in compliance with all fire safety regulations.
5. In the event of a fire alarm or fire emergency, all persons must evacuate the premises immediately as directed by LA Mirage staff. The Licensee shall cooperate fully with all emergency procedures. LA Mirage shall not be liable for any loss or damage arising from a fire alarm or emergency evacuation, whether the alarm is actual or false.
ARTICLE 7: PROPERTY DAMAGE & LIABILITY
The Licensee shall be fully liable for any and all damage to the LA Mirage Convention Center property, its fixtures, furnishings, equipment, or grounds caused by the Licensee, their guests, vendors, agents, performers, or any person attending the event at the Licensee’s invitation.
A post-event inspection will be conducted by the LA Mirage coordinator. If any damage is identified or additional cleaning is required beyond normal wear and tear, the Licensee agrees to pay all associated costs in full. The assessment of damage and the determination of repair/replacement costs shall be at the sole discretion of LA Mirage Convention Center.
All such payments are due within 15 days of receipt of a detailed invoice from LA Mirage Convention Center. Failure to settle within this period shall attract interest at the rate of 18% per annum on the outstanding amount.
ARTICLE 8: FOOD SAFETY & CATERING DISCLAIMER
1. No Catering by LA Mirage: LA Mirage Convention Center does not provide, supply, prepare, cook, serve, or handle any food or beverages at events hosted at the venue. All food and beverages served at any event are arranged, prepared, supplied, and served exclusively by the Licensee’s chosen external catering vendor.
2. Licensee’s Sole Responsibility: The Licensee is solely and exclusively responsible for all aspects of food and catering at the event, including but not limited to: selection of the catering vendor, quality and safety of food and beverages, hygiene and sanitation standards, food storage and handling, allergen management, temperature control, and compliance with all applicable food safety laws.
3. Food Safety Compliance: The Licensee shall ensure that their catering vendor holds a valid FSSAI license/registration under the Food Safety and Standards Act, 2006, and complies with all applicable food safety regulations, hygiene standards, and health codes. The Licensee shall produce a copy of the caterer’s FSSAI license upon request by LA Mirage management.
4. Complete Exclusion of Liability: LA Mirage Convention Center shall bear absolutely no liability whatsoever for any food-borne illness, food poisoning, allergic reaction, contamination, adverse health event, injury, hospitalization, or death arising from or in connection with any food or beverages served at the event. This exclusion applies to all guests, attendees, vendors, staff, and any other person present at the event.
5. Indemnification for Food-Related Claims: The Licensee shall indemnify, defend, and hold harmless LA Mirage Convention Center against any and all claims, lawsuits, complaints, penalties, fines, damages, costs, and expenses (including legal fees) arising from or in connection with food or beverages served at the event, whether such claims are brought by guests, attendees, government authorities, or any third party.
ARTICLE 9: INDEMNIFICATION AND HOLD HARMLESS
The Licensee agrees to indemnify, defend, and hold harmless LA Mirage Convention Center, its proprietors, partners, officers, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorney fees and legal costs) arising out of or in connection with:
○ Any act, omission, negligence, or willful misconduct by the Licensee, their guests, vendors, agents, contractors, employees, performers, or invitees;
○ Any accident, injury (including death), or property damage occurring during or in connection with the use of the premises;
○ Any violation of applicable laws, rules, regulations, or this agreement by the Licensee or any person attending the event;
○ Any food-borne illness, allergic reaction, or health issue arising from food or beverages served by the Licensee’s catering vendor;
○ Any claim related to noise, disturbance, or nuisance caused to neighboring properties by the event;
○ Any claim arising from the Licensee’s violation of the Kerala Abkari Act, Excise rules, noise pollution rules, or any other applicable law.
This indemnification obligation shall survive the termination or expiry of this agreement.
ARTICLE 10: LIMITATION OF LIABILITY
1. LA Mirage Convention Center shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to this agreement, including but not limited to loss of profits, loss of business, emotional distress, or damage to reputation, regardless of whether such damages were foreseeable.
2. In no event shall the total aggregate liability of LA Mirage Convention Center under or in connection with this agreement exceed the total rental fee (excluding taxes) actually received from the Licensee for the specific event in question.
3. LA Mirage Convention Center shall not be liable for any loss, theft, or damage to personal property, vehicles, gifts, jewellery, cash, or any other belongings of the Licensee, their guests, vendors, or attendees, whether inside the venue, in parking areas, or on the premises.
4. LA Mirage Convention Center shall not be liable for any failure or interruption of utilities including electricity, water supply, air conditioning, or plumbing caused by factors beyond its reasonable control, including but not limited to power outages, grid failures, or acts of utility providers.
5. LA Mirage Convention Center shall not be liable for any injury, illness, or adverse health event suffered by any person at the venue, except where directly caused by the proven gross negligence of LA Mirage staff.
ARTICLE 11: PERSONAL AND ABANDONED PROPERTY
LA Mirage Convention Center and its representatives assume no responsibility whatsoever for any property placed in the facility or on the premises, or for any property left behind after the event concludes. Any property not claimed within 7 days of the event shall be deemed abandoned and may be disposed of at the sole discretion of LA Mirage Convention Center without any liability.
ARTICLE 12: CANCELLATION & REFUND POLICY
1. All cancellations must be submitted by email to sales@la-mirage.in from the email address used for event booking, or through the official website at https://la-mirage.in. Cancellation requests made through any other channel (including verbal, WhatsApp, or phone) shall not be considered valid.
2. Non-Refundable Booking Advance: The booking advance is non-refundable under all circumstances, except where the cancellation is initiated by LA Mirage Convention Center (see clause 5 below).
3. Cancellation more than 365 days prior to the event: 50% of the TOTAL rental fee paid (excluding the booking advance and taxes) may be refunded at the sole discretion of the management.
4. Cancellation 365 days or less prior to the event: The entire rental fee, including the booking advance and all other amounts paid, is non-refundable. No exceptions shall be made.
5. Cancellation by LA Mirage: LA Mirage Convention Center reserves the right to cancel bookings due to force majeure events (as defined in Article 15), emergencies, safety concerns, or breach of this agreement by the Licensee. In the event of cancellation solely initiated by LA Mirage for reasons not attributable to the Licensee, all amounts paid by the Licensee will be refunded in full within 21 business days of cancellation confirmation. Where cancellation is due to the Licensee’s breach, no refund shall be due.
6. Rescheduling: Rescheduling is not permitted within 60 days of the scheduled event. All rescheduling requests must be submitted in writing and are subject to availability and management approval at the Licensor’s sole discretion. Rescheduling is allowed only once. The booking advance is non-refundable regardless of rescheduling. Any difference in rental fee for the rescheduled date must be paid by the Licensee prior to the rescheduled event.
7. No Exceptions: No rescheduling or refunds will be granted for cancellations or date change requests made within 60 days of the event under any circumstances.
8. Chargebacks & Payment Disputes: If the Licensee initiates a chargeback, payment dispute, or reversal with their bank or payment provider in respect of any payment made under this agreement, the Licensee shall be liable for the full amount of the original payment plus all chargeback fees, bank charges, and administrative costs incurred by LA Mirage Convention Center, along with interest at 18% per annum from the date of chargeback until full settlement.
ARTICLE 13: ACCEPTANCE OF TERMS & CONTRACT FORMATION
1. Capacity to Contract: The Licensee represents and warrants that they are 18 years of age or older and are of sound mind, and have the full legal capacity and authority to enter into this Agreement in accordance with Section 11 of the Indian Contract Act, 1872. If the Licensee is booking on behalf of an organization, the Licensee represents that they have the authority to bind such organization to the terms of this Agreement.
2. The Licensee acknowledges that by making the booking advance payment through any mode (online, bank transfer, UPI, cash, or otherwise), the Licensee unconditionally accepts and agrees to be bound by all terms and conditions set out in this Agreement, the Cancellation Policy, the Privacy Policy, and all associated policies as published on la-mirage.in at the time of booking.
3. The Licensee acknowledges that a signed written instrument is not a prerequisite for the formation of a binding contract, and that acceptance may be inferred from conduct, including but not limited to making payment, receiving booking confirmation, or using any services of the Licensor, in accordance with Section 8 of the Indian Contract Act, 1872.
4. The Terms and Conditions, Cancellation Policy, and all associated policies are publicly accessible on the LA Mirage website. The Licensee is deemed to have read, understood, and accepted these terms prior to making any payment. Ignorance of these terms shall not constitute a valid defense.
5. All online bookings and electronic payments constitute valid and enforceable contracts under Section 10A of the Information Technology Act, 2000.
6. Any representation, assurance, or commitment made by any LA Mirage staff member, agent, or representative that is not expressly set out in this Agreement or the published policies shall not be binding on LA Mirage Convention Center.
ARTICLE 14: INSURANCE
1. Venue Insurance: LA Mirage Convention Center maintains property insurance for the venue structure. This insurance does not cover the Licensee’s event, the Licensee’s property, the Licensee’s vendors, or any third-party claims arising from the event.
2. Recommendation for Event Insurance: LA Mirage strongly recommends that the Licensee obtain suitable event liability insurance covering, at a minimum: third-party injury or death, property damage, food-related claims, and public liability. The absence of event insurance shall not reduce or limit the Licensee’s obligations under this Agreement.
3. No Coverage by LA Mirage: LA Mirage Convention Center does not provide any insurance coverage for the Licensee’s event, guests, vendors, performers, caterers, or any other person or entity associated with the event. The Licensee acknowledges and accepts all risks associated with conducting the event at the venue.
ARTICLE 15: FORCE MAJEURE
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay results from events beyond the reasonable control of the affected party, including but not limited to:
○ Natural disasters (floods, earthquakes, cyclones, epidemics, pandemics);
○ Fire, explosion, or structural damage to the venue;
○ War, terrorism, civil unrest, riots, or curfew;
○ Government orders, lockdowns, restrictions, or changes in law or regulation;
○ Strikes, labour disputes, or supply chain disruptions;
○ Prolonged power failure or utility disruption beyond the control of the Licensor.
In the event of a force majeure event, LA Mirage Convention Center shall, at its sole discretion, either reschedule the event to a mutually agreeable date (subject to availability) or refund the amounts paid by the Licensee. The decision of LA Mirage Convention Center in this regard shall be final and binding.
Government-Mandated Capacity Restrictions: If any government authority imposes capacity restrictions, social distancing requirements, or other conditions that materially limit the number of guests or alter the nature of the event (including but not limited to pandemic-related restrictions), LA Mirage Convention Center shall work with the Licensee to reschedule the event to a mutually agreeable date, subject to availability. If rescheduling is not feasible or mutually agreeable, any refund shall be at the sole discretion of LA Mirage Convention Center. The Licensee shall not be entitled to any refund as a matter of right in such circumstances, and no claim for compensation, damages, or consequential loss shall lie against LA Mirage Convention Center.
ARTICLE 16: COMPLIANCE WITH APPLICABLE LAWS
The Licensee shall ensure that the event and all activities conducted on the premises comply with all applicable central, state, and local laws, rules, regulations, and orders, including but not limited to:
○ Noise Pollution (Regulation and Control) Rules, 2000 and all amendments thereto;
○ Kerala Panchayat Raj Act, 1994 and applicable municipal/panchayat regulations;
○ Kerala Fire Force Act, 1962 and fire safety regulations;
○ Kerala Abkari Act, 1 of 1077 and the Foreign Liquor Rules (if applicable);
○ Food Safety and Standards Act, 2006 (applicable to the Licensee’s catering vendor);
○ Rights of Persons with Disabilities Act, 2016;
○ Indian Copyright Act, 1957 – including obtaining all necessary music performance licenses from IPRS (Indian Performing Right Society), PPL (Phonographic Performance Limited), and/or any other copyright/licensing society for music played or performed at the event;
○ Environment (Protection) Act, 1986;
○ Any other applicable law, regulation, or order of any competent authority.
Any fines, penalties, prosecution, or legal consequences arising from the Licensee’s failure to comply with applicable laws shall be solely borne by the Licensee, and the Licensee shall indemnify LA Mirage Convention Center against the same.
ARTICLE 17: NON-ASSIGNMENT & NON-TRANSFERABILITY
The Licensee shall not assign, transfer, sublicense, or delegate this agreement or any rights or obligations hereunder to any third party without the prior written consent of LA Mirage Convention Center. Any purported assignment in violation of this clause shall be void and of no effect.
ARTICLE 18: DATA PROTECTION & PRIVACY
LA Mirage Convention Center collects and processes personal data of the Licensee in accordance with its Privacy Policy published at https://la-mirage.in/privacy-policy/. The Licensee consents to the collection, storage, and processing of their personal data for the purposes of booking management, communication, legal compliance, and service improvement. CCTV footage may be retained for security and safety purposes in accordance with applicable law.
Promotional Photography: LA Mirage Convention Center may photograph or video-record the venue setup, decorations, and general ambience during events (without identifying individual guests) for use on the LA Mirage website, social media channels, and promotional materials. If the Licensee objects to such photography, the Licensee must communicate the objection in writing at least 7 days prior to the event. In the absence of such written objection, consent for promotional photography of the venue setup shall be deemed granted.
ARTICLE 19: NOTICES
All notices, communications, and correspondences under this Agreement shall be in writing and shall be deemed duly given when sent by email to the following addresses:
○ To the Licensor: sales@la-mirage.in
○ To the Licensee: The email address provided at the time of booking.
Either party may update their email address for notices by providing written notice to the other party. Notices sent by email shall be deemed received on the date of sending. Verbal communications, WhatsApp messages, or any other informal communications shall not constitute valid notices under this Agreement.
ARTICLE 20: DISPUTE RESOLUTION & JURISDICTION
1. Amicable Resolution: The parties shall first attempt to resolve any dispute arising out of or in connection with this Agreement through good faith negotiation within 30 days of written notice of the dispute.
2. Mediation: If the dispute is not resolved through negotiation, the parties may, by mutual consent, refer the matter to mediation under the Mediation Act, 2023. The costs of mediation shall be borne equally by both parties.
3. Jurisdiction: For all legal matters arising from this agreement that are not resolved through negotiation or mediation, the courts in Thrissur District, Kerala, India, shall have exclusive jurisdiction.
4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Indian Easements Act, 1882, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and all other applicable central and state legislation.
ARTICLE 21: GENERAL PROVISIONS
1. Entire Agreement: This Agreement, together with the published Terms and Conditions, Cancellation Policy, Privacy Policy, and any supplementary Premises-Use Agreement, constitutes the entire agreement between the parties and supersedes all prior or contemporaneous oral or written representations, understandings, or agreements relating to the subject matter hereof.
2. Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
3. Waiver: The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of such provision or of the right to enforce it at a later time. No waiver shall be effective unless made in writing and signed by the waiving party.
4. Survival: Articles 7 (Property Damage), 8 (Food Safety), 9 (Indemnification), 10 (Limitation of Liability), 12 (Cancellation & Refund), 13 (Acceptance of Terms), and 20 (Dispute Resolution) shall survive the expiry, termination, or cancellation of this Agreement.
5. No Partnership or Agency: Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties.
6. Headings: The headings used in this Agreement are for convenience of reference only and shall not affect the interpretation of any provision.
7. Language: This Agreement is executed in English. In the event of any translation, the English version shall prevail.
8. Amendments: LA Mirage Convention Center reserves the right to update or modify the terms of this Agreement and any associated policies at any time. Changes will be published on the official website. The terms in effect at the time of booking shall apply to that booking.
9. Counterparts: This Agreement may be executed in counterparts, including electronic counterparts via Zoho Sign or any other electronic signature platform, each of which shall be deemed an original and all of which together shall constitute one and the same agreement. Electronic signatures shall have the same legal validity as handwritten signatures under the Information Technology Act, 2000.
